Terms of service

1. Who can use RimeGuard

RimeGuard is for businesses. By using it, you confirm you're at least 18 and authorized to accept these terms for your company. "You" means that company.

2. Accounts and access

• You connect RimeGuard through HubSpot, and you must have authority to connect the HubSpot account you choose.
• You're responsible for everything done through your account, and for keeping your access secure.
• Tell us right away at hello@rimeguard.com if you suspect anyone has gained unauthorized access.
• You can disconnect at any time, in RimeGuard or in HubSpot's settings.

3. What RimeGuard does, and doesn't do

• RimeGuard reads your HubSpot setup. It doesn't change your records.
• It monitors the tools you select and alerts you when something breaks or is about to.
• It suggests fixes. No fix takes effect until you approve it, and the decision to approve is yours.
• Fixes to code inside HubSpot workflows must be pasted in by you, because HubSpot doesn't let outside tools edit it. Fixes to scripts hosted on RimeGuard are deployed for you after approval.
• RimeGuard won't catch every problem. It reduces risk; it doesn't guarantee your tools will keep working.

4. Plans, payment and refunds

• The free health check and pilots cost nothing and need no payment details.
• Paid plans are priced as agreed with you in writing, billed monthly in advance. They renew each month until canceled.
• Cancel anytime. Cancellation takes effect at the end of the current billing period.
• Refunds. We don't refund partial months, except where the law requires it, or if we end your service without cause, in which case we refund the unused portion.
• Price changes take effect only after 30 days' notice.
• Taxes. Prices exclude taxes, which we add to invoices where required.
• Late payment. If a payment fails and isn't fixed within 14 days of our notice, we may suspend paid features.

5. Acceptable use

You agree not to:

• Use RimeGuard for anything illegal, or connect an account you're not authorized to connect
• Upload malicious code, or try to escape the isolated environment where hosted scripts run
• Test, probe or attack RimeGuard's security, or reverse engineer it, except where the law allows
• Resell RimeGuard or give others access to it
• Use RimeGuard to build a competing product
• Overload the service, or use it where a failure could cause injury or physical harm

We may suspend access that breaks these rules or puts other customers at risk. Where possible, we'll tell you first. If you've found a security issue, please report it to security@rimeguard.com instead of testing further.

6. Your data

• You own your data and your code.
• You give us permission to access and process them only to provide RimeGuard to you.
• You're responsible for having the rights and giving the notices the law requires for personal data in your HubSpot account.
• Our privacy policy explains what we collect and how we protect it. A data processing agreement is available on request.

7. AI-generated suggestions

Some suggested fixes are drafted with an AI model. They can be wrong. Review each one before approving it. We remove credentials we detect before code is analyzed, and we don't use your data to train AI models.

8. Other services, including HubSpot

RimeGuard depends on services we don't control, including HubSpot. We aren't responsible for their outages or their own changes, although watching for those changes is what RimeGuard does.

HubSpot is a trademark of HubSpot, Inc. RimeGuard is independent and isn't affiliated with or endorsed by HubSpot.

9. Intellectual property

• We own RimeGuard: its software, reports, designs and brand.
• You may use, copy and change any fix we suggest for your code, without restriction.
• We keep the general know-how we develop, such as common breakage patterns, but never your data or code.
• If you send us feedback, we may use it freely.

10. Confidentiality

Each of us will keep the other's non-public information confidential, and use it only for this service.

11. Disclaimers

RimeGuard is provided "as is" and "as available." To the extent the law allows, we make no warranties, express or implied, including that RimeGuard will be uninterrupted, error-free, or will detect every problem.

12. Limitation of liability

To the extent the law allows:

• Neither of us is liable for lost profits, lost revenue, or indirect, consequential, special or punitive damages.
• Our total liability for all claims is limited to the greater of what you paid us in the 12 months before the claim, or $100.

13. Your responsibility for claims

You'll defend us against third-party claims arising from your data, your hosted scripts, or your breach of these terms, and cover the resulting costs.

14. Ending the service

• You can stop anytime by disconnecting and canceling any paid plan.
• We can end the service with 30 days' notice, or immediately for a serious breach of these terms, non-payment after notice, or a legal or security risk.
• When the service ends, your access stops and we delete your data as our privacy policy describes.
• Sections 6 and 9 through 13 continue to apply after the service ends.

15. Changes to these terms

We'll give 30 days' notice of material changes by email. Continuing to use RimeGuard after that means you accept them.

16. Law and disputes

Virginia law governs these terms. Before going to court, we'll each try to resolve a dispute informally for 30 days. Any court case will be brought in the state or federal courts located in Virginia.

17. General

These terms are the entire agreement between us about RimeGuard, unless we've signed something else. If part of them is unenforceable, the rest still applies. Not enforcing a term isn't a waiver of it. You may not transfer these terms without our consent; we may transfer them as part of a merger or sale. Neither of us is liable for delays caused by events outside our reasonable control.
